iMantri (hereafter referred to as the company, site, us or we) is a web site that is a network for mentoring and coaching and a platform for interactions and interface for the mentoring process and a set of tools to facilitate mentoring.
The term “you” “user” “consumer” “client” as used herein shall refer to all users who agree to utilize the features and services offered by iMantri. By using the web site or registering with us, the users are agreeing to take complete responsibility of using our web site, widgets, software and other services and accept that the Company will not be held responsible for any problems or losses or issues whatsoever.
Use of iMantri’s Services
iMantri is a mentoring and coaching network with the following set of features:
Website: The website is the primary venue for all users to identify, select and work with mentors/mentees.
2Cents Widget: Two cents gadget and widgets can be downloaded and added to personal web pages and blogs
Tools: Tools such as message boards, chat rooms, document vault, message center, task manager, calendar etc
Our services are for personal and noncommercial use only. Except as otherwise expressly provided, you may not modify, copy, distribute, transmit, display, perform, reproduce, use, publish, license, create derivative works from, transfer or sell any information or content contained in the services, the site, or any iMantri software, product or service obtained from or available as part of our services.
You are hereby granted a non-exclusive, non-assignable and non-transferable license to use the services only under these terms and conditions of use. This grant is not to be construed as a sale of any iMantri rights described herein.
Our services may be used only by you once you have agreed to the terms herein, and you may not rent, lease, lend, sub-license or transfer the services or any data residing on our site or any of your rights under these terms to anyone else at any time. You may not develop or derive for commercial sale any data in any form whatsoever that incorporates or uses any substantial part of the services. You may not transfer to or store any data residing or exchanged over our services in any electronic network for use by more than one user unless you obtain prior written consent from us.
We do not endorse, recommend, edit, subscribe to, oppose or agree with any opinion, information, recommendations, analysis, Blogs, Message Boards or any other postings available on or through our site or services. 2. Impersonate any person or entity, including but not limited to, a IMantri official, forum host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
3. Delete any author attributions, legal notices, proprietary designations or labels that you post on the site or through the services to any communication feature;
4. Use the services in a manner that restricts the availability of its resources to other users (e.g., excessive shouting, flaming, use of all caps, or continuous posting of repetitive text);
5. Violate any applicable local, state, national or international laws;
6. Delete or revise any content posted by any person or entity other than yourself;
7. Print out or otherwise copy or use any personally identifiable information about the users of the site or any other third parties listed on this site. Unsolicited e-mail, telephone calls, mailings or other contacts to post individuals and companies are prohibited.
8. Violate or attempt to violate the security of IMantri including, without limitation:
(a) Access data not intended for such user or logging into a server or account that you are not authorized to access;
(b) Attempt to test, scan, probe or hack the vulnerability of the site and/or services or any network used by our Company or to breach security, encryption or other authentication measures without authorization;
(c) Attempt to interfere with service by overloading, flooding, pinging, mail-bombing or crashing the services;
(d) Send any unsolicited e-mail of any type;
(e) Forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.
Your Grant of Rights to iMantri
If and when you submit any content to the service (your content), for example, on our message board service, you grant us the royalty-free, perpetual, irrevocable, non-exclusive, transferable right and license to use, reproduce, modify, adapt, publish, distribute, translate, create derivative works from, perform and display such content worldwide or to incorporate it in other works in any form, media, or technology now known or later developed, without restriction or compensation. we shall have the right in our sole discretion to edit, refuse to post, or remove any content posted on the site by you and to remove any content that violates these terms.
You agree to indemnify and hold the Company immune against any third party claims, damages or demands, including reasonable attorney's fees, relating to or arising out of your violation of these terms, your representations and warranties, or your violation of any third party rights.
We have no obligation to monitor the data on or transmitted via our services. however, we may monitor the services and content
(a) to comply with any applicable laws, regulations or other government requests;
(b) to operate the services properly and to protect the company, our users and our partners; and

The unauthorized use of any of our editorial content and graphics for any purpose is strictly prohibited without our prior written consent.
Data, software, products and services, published on our site or through our services, may include inaccuracies, typographical errors or out-of-date information. Changes may be made and items may be added to the site or services from time to time without notice to you. We may make such changes or additions at any time in our sole discretion.

jurisdiction: the terms shall be governed by applicable California and Federal laws, and you hereby give your consent to have any action or dispute between yourself and IMantri to be resolved within the exclusive jurisdiction of the state and federal courts located in Santa Clara county, California. Use of the site and services is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. you understand and agree that, in addition to monetary damages, we shall be entitled to equitable relief upon your breach of these terms.
Severability: the terms are severable and may be construed to the extent of their enforceability in light of the parties' mutual intent if deemed at all unenforceable by a competent court.
